Consultant Licence Terms of Use

1. Parties

• Licensor: BLEND INTERACTIVE CONTENT FZCO ("Blend Templates"), trading at templates.blend.training.
• Licensee: The individual or legal entity named on the Lemon Squeezy receipt for the Consultant Licence subscription ("you" or "Consultant").

2. What the licence permits

Subject to your subscription being active and you complying with these terms, Blend Templates grants you a non-exclusive, non-transferable, worldwide licence to:

1. Access the full Blend Templates library, including all state employee handbooks, international jurisdiction handbooks, the 60-document HR bundle, AI policy packs, and any additional templates added during your subscription year.
2. Customise these templates for use with up to twenty (20) distinct client businesses within your subscription year. Each client business counts as one entity regardless of headcount or revenue.
3. Apply your consultancy's branding (logo, colours, typography) to the templates using the brand-customisation pack provided.
4. Deliver the customised templates to your client businesses as part of a professional services engagement.
5. Receive quarterly statute-change updates by email at the address used to subscribe.

3. What the licence does NOT permit

You may not, under any circumstances:

1. Resell the templates as standalone products. Templates may be delivered to clients only as part of a consultancy services engagement.
2. Grant sub-licences. Your client businesses cannot use the templates with their own clients, downstream consultants, or downstream service providers.
3. Use the templates with more than twenty (20) distinct client businesses within a single subscription year. If your client count exceeds 20, you must purchase an additional Consultant Licence or upgrade to a higher tier (when available).
4. Remove the attribution footer. Documents delivered to clients must retain a "prepared by [Your Consultancy] using Blend Templates" footer or equivalent attribution language. Format flexibility is permitted (small text, end of document, footer of cover page); removal is not.
5. Redistribute the templates to third parties outside a client engagement (including but not limited to: posting on file-sharing services, providing to other consultancies, including in courses or training products you sell).
6. Modify the templates with the intent to create a competing template product.
7. Use the templates after subscription expiry for new client engagements. Existing client engagements may use the most-recent-version delivered template indefinitely; new engagements require an active subscription.

4. Client business definition

A "client business" is one distinct legal entity (LLC, Inc, Ltd, GmbH, etc.) for which you are providing HR or compliance consultancy services. The definition is per legal entity, not per employee.

If a single legal entity has multiple operating brands or DBAs, those count as one client business. If two affiliated entities (parent + subsidiary) are operating independently with separate HR functions, they count as two.

If you are unsure whether a particular client situation counts as one or two business entities, email support@blend.training before delivering the template.

5. Subscription term + renewal

The licence runs for twelve (12) months from the subscription start date. It auto-renews unless cancelled at least thirty (30) days before the renewal date through the Lemon Squeezy buyer portal.

Subscription fees are paid annually in advance. Mid-cycle cancellation results in a pro-rata refund for the unused portion (calculated to the nearest month).

6. What happens if your subscription lapses

• Files already delivered to clients: continue to be usable by those clients indefinitely under the terms of your engagement with them.
• New client engagements: require a re-active subscription. Don't use the templates with a new client without renewing.
• Quarterly updates: stop. Your clients receive no further legal-change alerts unless you (or they) re-subscribe.
• Brand-customisation pack: continues to function for already-delivered work; not usable for new clients.

A 60-day grace period applies for completing any in-progress client engagement that was active at the lapse date.

7. Warranty + liability

The templates are provided "as is" without warranty of legal fitness for any specific client situation. You retain full professional responsibility for any document you deliver to a client.

Blend Templates' total liability under this licence is limited to the amount you paid for the subscription year in which a claim arises.

You agree to maintain professional indemnity insurance covering your consultancy engagements at a reasonable level for the work you deliver.

8. Termination

Blend Templates may terminate this licence with thirty (30) days' written notice (to the email address used to subscribe) and pro-rata refund of the unused portion if you are found to be:

1. Reselling the templates as standalone products
2. Using the templates with more than 20 client businesses
3. Removing the attribution footer
4. Providing templates to non-client third parties

You may terminate this licence at any time through the Lemon Squeezy buyer portal. Pro-rata refund of unused months applies if termination is voluntary.

9. Governing law + jurisdiction

This licence is governed by the laws of the United Arab Emirates. Disputes will be resolved through the Dubai International Arbitration Centre (DIAC). Both parties consent to the personal jurisdiction of the DIAC for matters arising under this licence.

For disputes under USD $10,000, the parties agree to attempt informal resolution by direct correspondence before initiating arbitration.

10. Changes to these terms

Blend Templates may update these terms with thirty (30) days' notice by email to current subscribers. If you object to a material change, you may cancel the licence within the notice period and receive a pro-rata refund. Continued use after the notice period constitutes acceptance.

The version of these terms in effect at the start of your subscription year applies to that year unless you accept a mid-year amendment in writing.
